1. Services and Delivery

1.1 OkayScale offers the following services: custom-built websites and webshops, Meta advertising, CRO (Conversion Rate Optimization), email marketing, and photo and video production. For each service, an initial meeting is held with the Client to define goals, needs, budget, and other factors that may impact the outcome.

1.2 For website and webshop development, OkayScale creates a design draft, which the Client can review and request adjustments within reasonable limits. Repeated redesigns or major changes will require additional payment. OkayScale guarantees 100% satisfaction, meaning the Client's approval of the design draft before development begins.

1.3 Delivery of completed solutions occurs as quickly as possible, depending on the project’s complexity and Client response time. OkayScale reserves the right to extend the delivery time if unforeseen factors arise.

2. Pricing and Payment Terms

2.1 The prices for OkayScale’s services vary depending on the project’s scope. All prices are exclusive of VAT and are generally stated in Euros (EUR) or US Dollars (USD) for international clients. In case of currency fluctuations, prices may be adjusted to ensure stability.

2.2 For websites and webshops, 50% of the fee is paid at project start, with the remaining 50% due after 30 days. Other services are invoiced monthly, and the project will not begin until the initial payment is received.

2.3 OkayScale accepts payment via bank transfer.

3. Late Payment and Debt Collection

3.1 If the Client does not pay on time, OkayScale will issue up to three reminders. If payment is not received after this, the matter will be handed over to debt collection, and the Client is responsible for all costs associated with collection and legal proceedings.

3.2 In addition to the above, OkayScale will impose a late payment fee of 100 DKK per reminder. If the full payment is not received, OkayScale reserves the right to suspend all services and remove any work, including data and content, without notice. OkayScale will not be liable for any loss, including but not limited to operational loss, financial loss, or any other damages, arising from the failure to pay the full amount.

4. Contract Duration and Termination

4.1 OkayScale does not require minimum terms on subscription services. For larger projects paid in installments, a payment plan may be agreed upon, with a maximum period of 12 months. If the Client defaults on the payment plan, reminders will be sent, and processes will be halted until the matter is potentially resolved through legal action.

4.2 The termination notice for CRO, email marketing, and Meta advertising services is current month + 1 month. If the project has not yet begun, the Client may receive a refund of the initial payment. If the project is in progress or ads are running, the notice period applies, and no refund will be given.

5. Website and Hosting

5.1 The Client is responsible for hosting. If it is agreed that OkayScale will manage hosting through an external provider, the Client must provide all necessary access.

5.2 After the Client has approved the design draft, any changes involving entire sections or significant alterations will require additional payment at an hourly rate of €100 / $110 per hour.

6. Client’s Responsibility for Materials

6.1 The Client is responsible for providing necessary materials, such as images and text, and for ensuring all content complies with applicable laws.

6.2 OkayScale is not responsible for delays caused by the Client’s failure to provide materials.

7. Complaints and Deficiencies

7.1 The Client has 30 days after delivery to report any errors or deficiencies directly related to OkayScale’s work. OkayScale is responsible for correcting such errors, but if third parties alter OkayScale’s work, the warranty becomes void.

7.2 OkayScale is not liable for financial losses, potential financial losses, or indirect losses, whether for website development or other services. Complaints must be submitted to kontact@okayscale.dk or via phone at +45 53372117 on WhatsApp.

8. Intellectual Property Rights

8.1 OkayScale retains copyright to certain code and design components, but the Client obtains full ownership of the final project and may use the material commercially without restrictions.

9. Advice and Legal Compliance Responsibility

9.1 The Client is responsible for using the services in accordance with applicable laws. OkayScale performs work within the bounds of the law but is not liable for any legal violations or financial consequences if the Client uses the services unlawfully.

10. Force Majeure

10.1 OkayScale is exempt from liability in the event of force majeure, including natural disasters, war, changes in laws, power outages, or technological failures beyond OkayScale’s control.

10.2 Force majeure may result in delays. OkayScale or the Client will contact each other via email or phone if a force majeure situation arises.

11. Third-Party Rights

11.1 The Client may involve third parties, but this must be approved by OkayScale beforehand, as third-party work may impact OkayScale’s solutions and reputation. OkayScale is not liable for third-party legal compliance or quality of work.

12. Support and Maintenance

12.1 Support agreements may be purchased, and the Client must at least purchase a basic support package to be able to add further support as needed. Support packages may be adjusted at the Client's request and are arranged with OkayScale on an ongoing basis.

12.2 Support services are provided during OkayScale's working hours unless otherwise agreed upon.

Support package

12.3 The support package covers minor tasks estimated to take up to 30 minutes per task. Tasks are handled one at a time and cannot be accumulated or stacked into larger assignments. The support package does not include advanced coding or complex technical work, as these typically exceed the allotted time frame.

Prepaid 10 hour bundle

12.4 The prepaid hourly bundle includes 10 hours of work that can be used flexibly as needed. The time can be spent on coding, design adjustments, or other types of website assistance. The hours remain valid until fully used and offer the flexibility to tailor support based on your needs and priorities.

13. Confidentiality and Data Security

13.1 Both parties are required to handle exchanged information confidentially and to store it securely.

14. Governing Law and Jurisdiction

14.1 Disputes will be resolved in the Esbjerg Court, Denmark. The parties may attempt to resolve disputes with financial compensation if legal action is to be avoided.

15. Advertising and Marketing Services

15.1 OkayScale offers advertising on Meta platforms but does not guarantee specific results and disclaims liability for financial losses.

15.2 The Client must provide relevant material and information to support the advertising strategy.

16. Transfer and Subcontractors

16.1 OkayScale reserves the right to involve partners without prior approval from the Client, if necessary for project success.

16.2 The Client may reject specific subcontractors if they have previously had negative experiences with them or after a trial period if the subcontractor negatively impacts project quality.
